WHEREAS THEATER EDUCATION ENRICHES THE LIVES OF COUNTLESS STUDENTS IN OUR SCHOOLS AND ALLOWS THEM TO DISCOVER THE MYRIAD SKILLS AND ABILITIES IN LEADERSHIP, COMMUNICATIONS AND COLLABORATION AND UNLOCK THE UNLIMITED POTENTIAL FOR THE STUDENT.

AND WHEREAS THEATER EDUCATION HAS BEEN LINKED TO HIGHER EDUCATION OF ACADEMIC ACHIEVEMENT, IMPROVED STANDARDIZED TEST SCORES, REDUCTION OF SCHOOL DROPOUT RATES, IMPROVED ATTENDANCE, AND HIGHER SAT SCORES, AND WHEREAS CREATING A PATHWAY FOR STUDENTS GOING INTO THE ARTS CAREER HELPS PROVIDE THEM WITH MORE OF A MOTIVATION TO STAY IN SCHOOL AND CONFIDENTLY MOVES THEM TOWARDS A BRIGHT FUTURE AND CRITICAL THINKING SKILLS.

AND WHEREAS WISE COUNTY SCHOOLS HAVE DRAMA AND THEATER ART TEACHERS WHO WORK DILIGENTLY TO CREATE CLASSROOMS THAT ALLOW STUDENTS TO LEARN AND THRIVE AND WHO ARE INVOLVED IN DISTRICT AND STATE THEATERS AND INITIATIVES.

NOW, THEREFORE, BE IT KNOWN TO ALL PRESENT, I AM MIKE MCQUISTON, MAYOR OF THE CITY OF DECATUR.

DO HEREBY PROCLAIM MARCH 2024 AS THEATER IN OUR SCHOOLS MONTH THROUGHOUT THE CITY OF DECATUR, AND WE FURTHER CALL UPON ALL CITIZENS TO ENGAGE IN THE ONGOING PROCESS OF THEATER EDUCATION AND TO BRING A HEIGHTENED AWARENESS TO THE IMPORTANCE OF ARTS AND EDUCATION.

THIS SPECIFICALLY WAS SPURRED BY THE NEED TO REMOVE SOME DEPOSITING REQUIREMENTS ON OWNERSHIP BASED PROPERTIES IN OUR WATER UTILITY SERVICES, AND THEN ALSO THE NEED TO CHANGE OUR FEES COLLECTED BY WASTE COLLECTIONS OR WASTE CONNECTIONS, RATHER.

SO IT IS THAT TIME OF YEAR WHERE WE HONOR THE CONSUMER PRICE INDEX INCREASE.

AND THAT'S WHAT THE BULK OF THE RED LINES ON PAGES SIX AND SEVEN OF YOUR PACKET REPRESENT.

WE'RE GOING TO HAVE ABOUT A 30,500 SQUARE FOOT BUILDING, SINGLE STORY.

SEPTEMBER 21ST, COUNCIL GRACIOUSLY PUT TOGETHER A BOND PACKAGE FOR $18 MILLION AND ALSO $1.3 MILLION FOR LAND PURCHASE.

MAY OF 2022, BRINKLEY SARGENT WIGINTON WAS HIRED AS AN ARCHITECTURAL FIRM.

AUGUST OF 22, WE REVISED OUR NEED ASSESSMENT.

THAT WAS COMPLETED BY BRINKLEY SARGENT WIGINTON KIND OF GAVE US AN UPDATE OF WHERE WE WERE AT THAT TIME COMPARED TO OUR INITIAL NEEDS ASSESSMENT.

FEBRUARY OF 23, AFTER REVIEWING SEVERAL DIFFERENT CONSTRUCTION COMPANIES, WE SELECTED SEDALCO TO BE OUR CONSTRUCTION MANAGER AT RISK. SEPTEMBER OF 23, YOU GUYS APPROVED AN ADDITIONAL $9 MILLION TO GO TO THE COMPLETION OF OUR FACILITY.

AND HERE WE ARE IN MARCH OF 2024.

ACTUALLY BEGINNING SOMETHING THAT WE STARTED OVER THREE YEARS AGO.

AS A COLLECTIVE WHOLE.

SO KIND OF THE ROADMAP THAT WE'VE BEEN ON FINANCIALLY.

WE TALKED ABOUT IT A LITTLE BIT, STARTING THIS PROJECT IN JANUARY OF 21, WORKING THROUGH OUR NEEDS ASSESSMENT TO OUR FIRST INITIAL COST OF THAT 18,265,000. IN APRIL OF 23, OBVIOUSLY DUE TO UNFORESEEN ECONOMIC DOWNTURN OR WHATEVER YOU WANT TO SAY.

THAT NUMBER JUMPED QUITE SUBSTANTIALLY TO THE 26,578.

CONTINUED WORKING THROUGH THE PROJECT TO SEPTEMBER OF 23, AND WE CAME UP TO THE 27,000,389 AND THEN TO WHERE WE ARE TODAY.

THE FINAL GUARANTEED MAXIMUM PRICE IS $27,000,410.

SO YOU'RE PROBABLY THINKING, OKAY, LOOK, 18 AND NINE WERE OFF A LITTLE BIT.

SO HERE'S A BREAKDOWN OF WHERE WE ARE CURRENTLY BUDGET WISE.

OUR ORIGINAL BUDGET AND CONSTRUCTION FOR LAND 18,265,000 INCLUDED THE 1.3 FOR THE LAND.

LAND WAS PURCHASED FOR MARK MORAN AT A VERY REASONABLE PRICE OF $892,000.

THAT LEFT US $432 OFF OF THAT ORIGINAL, AS WE CAN MOVE THROUGH OUR BUDGETS THAT WE KEPT GETTING PRESENTED AS THINGS INCREASED ALONG THE WAY.

AND YOU GUYS, AGAIN, LIKE WE ALREADY SAID, YOU APPROVED THE ADDITIONAL 9 MILLION BECAUSE WE KNEW THAT WE WERE GOING TO NEED THAT.

AND THROUGH CAREFUL PLANNING I WOULD SAY THROUGH OUR ARCHITECTS, THROUGH OUR CONSTRUCTION COMPANY, THROUGH FINANCE, I KNOW ANNA IS NOT HERE, BUT HAVING MEETINGS WITH ANNA, WITH NATE AND OUR STAFF AS WELL.

WE IT WAS DETERMINED THAT THE 9 MILLION WOULD BE A SUFFICIENT AMOUNT THAT YOU GUYS APPROVED FOR US THIS TIME ON THE BOND.

SO WHEN WE LOOK AT THAT, WE TAKE THE INITIAL 18,265,000.

WE ADD THE 9 MILLION TO THAT.

THAT GAVE US THE TOTAL OF THE 27,000,265.

SO THAT MEANS WE'RE JUST A LITTLE BIT SHORT, BUT WE TAKE THE REMAINING LEFT FROM THE LAND.

AND THAT ACTUALLY MEANS THAT WE HAVE A POSITIVE RIGHT NOW OF $286,000 LEFT.

ALONG WITH THIS, THERE ARE CONTINGENCIES BUILT INTO THIS GUARANTEED MAXIMUM PRICE.

THERE'S A 2% THAT IS BUILT IN ON THE OWNER SIDE, AND THERE'S A 2% THAT IS BUILT IN ON THE CONTRACTOR SIDE.

SO THERE'S AN ADDITIONAL $800,000 THAT'S BUILT IN TO OUR PROJECT FOR CONTINGENCIES AS WELL.

SO WHAT THAT REALLY MEANS IS THAT, GUYS, WE'RE SITTING REALLY, REALLY WELL ON OUR PROJECT IN MY MIND.

AND WE ARE EXTREMELY EXCITED TO GET STARTED WITH OUR PROJECT.

SO YOU CAN SEE ON HERE ON THIS ACTUAL BREAKDOWN OF WHAT IT IS BETWEEN THE CONSTRUCTION SIDE, THE ARCHITECTURAL FEES TO GET US TO OUR OUR GRAND TOTAL OF THAT GMP 23 MILLION AND A HALF ROUGHLY IS THE ACTUAL CONSTRUCTION COST ITSELF.

AND SO HOW THE CAPITAL OUTLAY WILL TAKE PLACE IS OUT OF A COUPLE OF DIFFERENT COMPANIES.

AND SO WE'RE ENGAGED WITH BOTH ACTING AS THE DEVELOPER ROLE AND DEFINED AS A DEVELOPER ROLE IN THIS AGREEMENT.

AND THAT'S THE WAY THAT OUR ATTORNEY AND THEIR ATTORNEY AGREED UPON IT.

THE TERM OF THIS AGREEMENT IS THROUGH DECEMBER, 31ST, 2029.

JOB CREATION DETAILS ARE A MINIMUM OF TEN FULL TIME JOBS BY JANUARY 31ST, 2025, A MINIMUM OF 30 FULL TIME POSITIONS WITHIN FIVE YEARS OF THE EFFECTIVE DATE OF THIS PERFORMANCE AGREEMENT, AND A MINIMUM AVERAGE SALARY OF $60,000 AS FULL TIME EQUIVALENT POSITIONS ARE DEFINED IN THE AGREEMENT.

ON THE CAPITAL INVESTMENT SIDE, DETAILS ON THAT A MINIMUM MINIMUM TOTAL OF $3.5 MILLION.

AND THAT'S BROKEN OUT IN DETAIL AS MINIMUM OF $1 MILLION IN PROPERTY IMPROVEMENTS, A MINIMUM OF $2.5 MILLION IN FF&E, WHICH IS FURNITURE, FIXTURES AND EQUIPMENT ADDED TO THE PROPERTY AND THEN A CERTIFICATE OF OCCUPANCY BY DECEMBER 31ST, 2024 AND OPERATIONAL BY THE SAME DATE.

ON THE EDC SIDE.

OUR INCENTIVE ON THIS PROJECT IS A TOTAL OF $175,000.

THAT'S BROKEN OUT AND PAID OUT AS FOLLOWS 87,500.

IT'S BASICALLY 50% INTO AT TWO DIFFERENT POINTS IN TIME, 87,500 BY JUNE 30TH OF 2024 FOLLOWING RECEIPTS OF PAID INVOICES, PAID RECEIPTS OR OTHER DOCUMENTS PAID DOCUMENTATION TO DATE THAT ARE ACCEPTABLE TO THE EDC.

AND THEN THE OTHER 87,500 BY APRIL 30TH OF 2025 FOLLOWING THE SAME TYPE OF DOCUMENTATION.

AND IN NO EVENT SHALL THE EDC PORTION AND OUR FINANCIAL ASSISTANCE EXCEED $175,000.

WE'LL BE LOOKING AT DOING INSPECTIONS, LOOKING FOR MICRO CRACKS, AND THEN PROTECTIVE COATINGS OVER PARTS FOR THE AEROSPACE AND AIRFRAME PLATFORMS. INITIALLY AT ONSET, WE'LL BE LOOKING AT PARTNERING WITH OUR SISTER COMPANIES AND HANDLING THEIR REQUIREMENTS.

MOVING FORWARD. BUT WE'VE GOT A LOT OF INTEREST FROM FIVE SOLID PRIMES ON THE AEROSPACE SECTOR THAT ARE IN THE HEART OF DALLAS AND BRINGING THEM UP HERE TO SEE OUR FACILITIES.

WE'VE ALREADY BEEN IN CONTACT WITH THE FIRE TEAM AND THE POLICE TEAM FOR REQUIREMENTS FOR CHEMICALS GIVING, PROVIDING THEM A PRELIMINARY LIST OF CHEMICALS AND THINGS LIKE THAT SO THAT THEY KNOW WHAT WE HAVE, MAKING SURE THAT OUR SYSTEMS AND THEY CAN CONFER WHAT THE SYSTEM SHOULD BE REQUIRED.

WE'LL BE TREATING CEILINGS TO PROTECT THE BUILDING AS WELL ITSELF AS WELL, TO MAKE SURE THAT IT'S GOT A LONGEVITY IN THE SYSTEM.

AND THEN WE'LL BE USING AN ADVANCED PAINT SYSTEM, WHICH WILL BE DOING A LOT OF FUME RECOVERY MEETING EPA STANDARDS AND DESIGNED TO THAT UP TO DATE SYSTEM, NOT A USED SYSTEM OR ANYTHING LIKE THAT.

SO, YOU KNOW, GETTING THROUGH THAT.

WE'VE GOT SOME LAYOUTS, WE'VE GOT THE BUILDING STUFF AND THEN, YOU KNOW, OUR COMMITMENT TO THE COMMUNITY.

YOU KNOW, THE MAJOR PART OF THIS AGREEMENT IS THAT WE'RE BRINGING IN JOBS AND WE'RE, YOU KNOW, VERY HAPPY TO DO SO.

WE'VE GOT OMEGA RESEARCHERS THERE, AND THEY'VE HAD VERY GREAT SUCCESS FINDING LOCAL PEOPLE HERE.

WE'VE ALSO GOT A LOT OF TRADES, A LOT OF ENGINEERING, A LOT OF TECHNOLOGY THAT WE'LL BE BRINGING TO THE BUILDING.

AND WE'D LOVE TO DO SOME OUTREACH.

START APPRENTICESHIP PROGRAMS, SOME TRAINING SYSTEMS. I'D LOVE TO GET THE HIGH SCHOOL KIDS INVOLVED INSIDE AND SEEING THIS TECHNOLOGY, GETTING THEIR HANDS ON SOME OF THESE SYSTEMS AND GETTING EXPOSED TO IT.

FOR THEM TO PURSUE CAREERS.

WE'VE GOT SOME TECHNICAL TRADES THAT WILL BE REQUIRED IN THERE THAT REQUIRE ON HANDS TRAINING AS WELL AS SOME SMALL CLASS SYSTEMS, AND THEN THAT CAN LEAD INTO CAREER SYSTEMS THAT PAY 60, 80, 120,000 WITH VERY MINIMAL TRAINING AND STUFF.

AND WE'D LOVE TO START A PROGRAM WITH THIS TO BRING BACK TO THE COMMUNITY AND GET PEOPLE INVOLVED IN OUR SYSTEMS. SO THOSE ARE THE TYPE OF JOBS THAT WE'D BE LOOKING FOR IN THE TRADES.

WE'LL HAVE AUTOMATION ENGINEERS, WE'LL HAVE BUSINESS PEOPLE, WE'LL HAVE SALES MANAGERS.

ALL OF THESE WILL HAVE TO BE STAFFED FROM PEOPLE, AND WE'D LOVE TO BRING THEM IN LOCALLY AND TRAIN UP AS MANY AS WE CAN THERE.

SO MOST OF YOU ALL, I THINK, ARE PROBABLY FAMILIAR WITH THAT FACILITY ORIGINALLY USED FOR MANUFACTURING PURPOSES AND BRINGING IT BACK TO THAT STATE WITH THIS PROJECT.

THIS PROJECT, OBVIOUSLY ADDING GOOD NEW JOBS TO THE COMMUNITY AND ADDITIONAL TAX BASE AND ENHANCING THAT FACILITY IN PARTICULAR.

THIS IS A STEEL FAB COMPANY THAT'S EXPERIENCING SUSTAINABLE GROWTH.

THEY NEED ADDITIONAL SPACE.

SO WHERE THEY'RE AT, I'LL GIVE YOU SOME REAL QUICK BACKGROUND ON THEM.

THEY'RE NOT LOCATED IN THE CITY OF DECATUR TODAY.

THEY'RE RENTING OR LEASING COMMERCIAL SPACE BETWEEN DECATUR AND DENTON.

THEY'RE ABOUT TEN MINUTES EAST OF DECATUR TODAY, OUTSIDE THE CITY LIMITS.

THEY HAVE LEASED AS MUCH SPACE AS THEY CAN IN THEIR EXISTING LOCATION.

NEED TO GROW.

AND THE FORMER GLASS FACTORY OR THE GLASS FACTORY BUILDING DID RECEIVE A LOT OF INDUSTRIAL INTEREST BECAUSE THERE'S NOT A LOT OF SPACE AVAILABLE IN DFW AT THAT PRICE.

THIS PROJECT MAKES A LOT OF SENSE TO FIT IN THERE, NOT ONLY BECAUSE IT MEETS THEIR NEEDS TODAY, BUT BECAUSE THAT LEASE THAT THEY'RE IN CURRENTLY DOES HAVE AN EXPIRATION DATE, LIKE EVERY LEASE.

AND AT THAT POINT, WE'VE ALREADY HAD CONVERSATIONS ABOUT POTENTIAL EXPANSION OPPORTUNITIES IN DECATUR TO GO AHEAD AND RELOCATE THAT PROCESS INTO DECATUR.

OBVIOUSLY, THERE'S NO GUARANTEES THERE.

BUT CERTAINLY MAKES SENSE AND SEEMS LIKE A GOOD OPPORTUNITY AND A KIND OF A NON-TANGIBLE ON THIS PROJECT.

SO I'LL GO OVER THE DEAL POINTS REAL QUICK ON THIS ONE.

THE TERM OF THIS AGREEMENT IS THROUGH MARCH 31ST, 2029.

THE DEVELOPER COVENANTS ON THIS DEAL.

I'LL START WITH JOB CREATION.

SO A MINIMUM OF TEN FULL TIME JOBS BY DECEMBER 31ST, 2024, WITH A MINIMUM ANNUAL PAYROLL OF $450,000, A MINIMUM OF 12 FULL TIME JOBS BY DECEMBER 31ST, 2025, WITH A MINIMUM ANNUAL PAYROLL OF 500,000.

BY DECEMBER 31ST, 2026, THEY HAVE TO HAVE A MINIMUM OF 15 FULL TIME POSITIONS, WITH A MINIMUM ANNUAL PAYROLL OF $625,000.

I'M NOT SAYING MINIMUM SO MANY TIMES BECAUSE I ENJOY IT.

I'M SAYING IT JUST AS A REMINDER BECAUSE WE LIKE TO INCLUDE, WHICH IS NOT ALWAYS THE CASE IN PERFORMANCE AGREEMENTS AROUND THE STATE, BUT WE LIKE TO INCLUDE A MINIMUM BECAUSE IF THEY, AS WE REMIND THEM, AS IF THEY WE WANT THEM TO BE CONSERVATIVE ON THEIR NUMBERS AND IF THEY EXCEED THOSE NUMBERS, EVERYONE'S HAPPY.

WHAT WE DON'T WANT TO GET INTO IS COMPANIES NOT MEETING THEIR OBLIGATIONS AND THEN THEREFORE NOT RECEIVING THE INCENTIVE THAT WE'VE AGREED TO.

BY DECEMBER 31ST, 2026, A MINIMUM MINIMUM OF 15 FULL TIME JOBS AND A MINIMUM ANNUAL PAYROLL OF $625,000 BY DECEMBER 31ST, 2027, A MINIMUM OF 20 FULL TIME JOBS AND A MINIMUM ANNUAL PAYROLL OF $850,000.

AND THEN FINALLY, DECEMBER 31ST, 2028, A MINIMUM OF 25 FULL TIME JOBS WITH A MINIMUM ANNUAL PAYROLL OF $1.1 MILLION.

MOVING ON TO CAPITAL INVESTMENT THE COMPANY IS OBLIGATED TO EXPEND A MINIMUM OF $1.6 MILLION IN REAL PROPERTY IMPROVEMENTS BY MARCH 31ST, 2025, AS WELL AS A MINIMUM OF $125,000 IN EQUIPMENT INSTALLED ON THE PROPERTY BY MARCH 31ST, 2025, AND THEN AN ADDITIONAL $275,000 OF CAPITAL INVESTMENT BY MARCH 31ST, 2029.

THE COMPANY IS REQUIRED TO HAVE THEIR CERTIFICATE OF OCCUPANCY BY DECEMBER 31ST, 2024 AND BE OPERATIONAL BY THE SAME DATE.
