SO FIRST, IN THE DEVELOPER COVENANTS THIS AGREEMENT IS WITH GC OMEGA ARI, WHICH IS GOFF OMEGA REAL ESTATE AND ONYX SPECIALTY PROCESSING LLC.
AND SO HOW THE CAPITAL OUTLAY WILL TAKE PLACE IS OUT OF A COUPLE OF DIFFERENT COMPANIES.
AND THAT'S THE WAY THAT OUR ATTORNEY AND THEIR ATTORNEY AGREED UPON IT.
THE TERM OF THIS AGREEMENT IS THROUGH DECEMBER, 31ST, 2029.
JOB CREATION DETAILS ARE A MINIMUM OF TEN FULL TIME JOBS BY JANUARY 31ST, 2025, A MINIMUM OF 30 FULL TIME POSITIONS WITHIN FIVE YEARS OF THE EFFECTIVE DATE OF THIS PERFORMANCE AGREEMENT, AND A MINIMUM AVERAGE SALARY OF $60,000 AS FULL TIME EQUIVALENT POSITIONS ARE DEFINED IN THE AGREEMENT.
ON THE CAPITAL INVESTMENT SIDE, DETAILS ON THAT A MINIMUM MINIMUM TOTAL OF $3.5 MILLION.
AND THAT'S BROKEN OUT IN DETAIL AS MINIMUM OF $1 MILLION IN PROPERTY IMPROVEMENTS, A MINIMUM OF $2.5 MILLION IN FF&E, WHICH IS FURNITURE, FIXTURES AND EQUIPMENT ADDED TO THE PROPERTY AND THEN A CERTIFICATE OF OCCUPANCY BY DECEMBER 31ST, 2024 AND OPERATIONAL BY THE SAME DATE.
OUR INCENTIVE ON THIS PROJECT IS A TOTAL OF $175,000.
THAT'S BROKEN OUT AND PAID OUT AS FOLLOWS 87,500.
IT'S BASICALLY 50% INTO AT TWO DIFFERENT POINTS IN TIME, 87,500 BY JUNE 30TH OF 2024 FOLLOWING RECEIPTS OF PAID INVOICES, PAID RECEIPTS OR OTHER DOCUMENTS PAID DOCUMENTATION TO DATE THAT ARE ACCEPTABLE TO THE EDC.
AND THEN THE OTHER 87,500 BY APRIL 30TH OF 2025 FOLLOWING THE SAME TYPE OF DOCUMENTATION.
AND IN NO EVENT SHALL THE EDC PORTION AND OUR FINANCIAL ASSISTANCE EXCEED $175,000.
AND THIS IS THIS IS THE CASE HERE AS WELL.
THIS IS JUST A LITTLE DIFFERENT APPROACH TO IT.
AND I WANT TO JUST TOUCH ON THAT BRIEFLY.
LIKE I SAID, FOR TRANSPARENCY SAKE AS OPPOSED TO PAYING THE FULL 175 175,000 OUT UPON THE TOTAL EXPENDITURE OF THE MINIMUM 3.5 MILLION REQUIRED TO THE COMPANY.
YOU CAN SEE WE'RE BREAKING IT INTO PIECES.
AND WHAT THAT REALLY REPRESENTS IS A COMPROMISE BETWEEN US AND THE COMPANY.
THIS COMPANY, THEY RECOGNIZE THE TIME VALUE OF MONEY, AND THEY WANTED APPROPRIATELY, GIVEN THAT THEIR PRIVATE EQUITY FINANCED 100% BY THE PARENT COMPANY, THEY WANTED AS MUCH OF THAT MONEY AS EARLY AS POSSIBLE, JUST BECAUSE THE TIME VALUE OF MONEY.
WE WERE NOT WILLING TO DO 100% OF THAT.
AND SO WHAT WE AGREED UPON IS A 50/50.
AND OF COURSE, WE'RE COVERED IN OUR DEFAULT LANGUAGE.

SHOULD THE COMPANY DEVELOPER DEFAULT ON ANY POINTS WHICH WE WE HAVE NO REASON TO EXPECT THAT THEY WILL OR, I DON'T THINK THE EDC BOARD WOULD HAVE AGREED TO THIS PROJECT. SO BEYOND THAT, INTO THE DEFAULT LANGUAGE, IF THE COMPANY DEFAULTS ON ANY DEAL POINTS, THE ENTIRE AMOUNT OF FINANCIAL ASSISTANCE PROVIDED TO THE COMPANY SHALL BECOME IMMEDIATELY DUE.AND IN THIS AGREEMENT, THAT AMOUNT MAY BE PAID BACK TO US OVER A THREE YEAR PERIOD OF TIME.
ANOTHER ADDITIONAL DEFAULT LANGUAGE.
THE OTHER POINT IS $1,000 PENALTY PER FULL TIME JOB NOT CREATED DURING THE TERM OF THE AGREEMENT.

WE'VE ALREADY BEEN IN CONTACT WITH THE FIRE TEAM AND THE POLICE TEAM FOR REQUIREMENTS FOR CHEMICALS GIVING, PROVIDING THEM A PRELIMINARY LIST OF CHEMICALS AND THINGS LIKE THAT SO THAT THEY KNOW WHAT WE HAVE, MAKING SURE THAT OUR SYSTEMS AND THEY CAN CONFER WHAT THE SYSTEM SHOULD BE REQUIRED.
AND THEN WE'LL BE USING AN ADVANCED PAINT SYSTEM, WHICH WILL BE DOING A LOT OF FUME RECOVERY MEETING EPA STANDARDS AND DESIGNED TO THAT UP TO DATE SYSTEM, NOT A USED SYSTEM OR ANYTHING LIKE THAT.
SO, YOU KNOW, GETTING THROUGH THAT.
WE LOVE THE PEOPLE IN THIS, THIS AREA.
WE'VE GOT OMEGA RESEARCHERS THERE, AND THEY'VE HAD VERY GREAT SUCCESS FINDING LOCAL PEOPLE HERE.
AND WE'D LOVE TO DO SOME OUTREACH.
START APPRENTICESHIP PROGRAMS, SOME TRAINING SYSTEMS. I'D LOVE TO GET THE HIGH SCHOOL KIDS INVOLVED INSIDE AND SEEING THIS TECHNOLOGY, GETTING THEIR HANDS ON SOME OF THESE SYSTEMS AND GETTING EXPOSED TO IT.
WE'VE GOT SOME TECHNICAL TRADES THAT WILL BE REQUIRED IN THERE THAT REQUIRE ON HANDS TRAINING AS WELL AS SOME SMALL CLASS SYSTEMS, AND THEN THAT CAN LEAD INTO CAREER SYSTEMS THAT PAY 60, 80, 120,000 WITH VERY MINIMAL TRAINING AND STUFF.
